Articles of the Sino-German Cultural and Economic Association

 

 

 

   

 
  1. The association is called Sino-German Cultural and Economic Association.

  2. The purpose of the establishment of this association is the mutual promotion and development of the cultural and economic relations between the Republic of China and the German speaking countries.  
  3. The headquarters of the association shall be in the capital of the Republic of China. If necessary, subsidaries can be opened in the province (city ward) and in the district (city ward).  
  4. The associtation has the following duties:
    1. Promotion of mutual cultural exchange, economic cooperation and trade relations.  
    2. Mutual translations and publication of academic and literary works.  
    3. Speeches, seminars, diskussions, muscial events, exhibtions etc.  
    4. Mutual support for visiting researchers and artists.
    5. Events for social get together and entertainment.
    6. Collection and exchange of magazines, journals and necessary reading material..
    7. Others.
  5. The application for membership can only be granted for persons over 20 years of age and who are willing to support the goals of the association and to obey its rules as stated in the articles and who is nominated by two members of the association and approved by the board. The membership of the association is classified as follows:
              • normal member
              • member for life
              • supporting member
              • membership of groups and cooperations

Individuals who are promoting the interests of the assocation can be invited as supporting member.

  1. Members who are acting against the rules or the articles of the association or who are not obeying the decisions of the general assembly can be admonished or suspended from their title according to the decision of the associationīs board. Members who are harming the associationīs reputation or purpose can be excluded by decision of the general assembly.
  2. The rights of the associationīs members are the following:

 .       Right to speak and vote

a.      Active right to vote and passive right to vote

b.     Participation in all activities concerning the association

c.      Other member rights

  1. The duties of the associationīs members are the following:

 .      Observance of the associationīs articles and the decisions of the associationīs assembly

a.      Accomplishment of the tasks assigned by the association

b.     Payment of the membership fees

c.      Participation at the general assembly

  1. The general assembly possesses the final decision power. After the closing of the assembly, this power is transfered to the board.  
  2. The board consists of 35 members and 11 representatives. The supervisory board consists of 11 members and 3 representatives. All members mentioned above have to be elected by the general assembly or in writing. The election in writing has then to be conducted after the decision of the board and a report to the according authority. The board members elect among themselves 11 persons as permanent board members. The supervisory board members elect among themselves 3 persons as permanent supervisory board members, among which one has to be elected as inductee.  
  3. The board members elect among themselves one of the permanent members to become president and one to become vice president, who are in charge of the matters concerning the association.  
  4. The working period of the president, the vice president the permanent board members, permanent supervisory board members, board members and supervisory board members is 4 years. The members can be reelected. The president can only be reelected one time. If the members of the board or the supervisory board are not capable of fulfilling their work tasks, they can be replaced by a representative one afte another until the end of the working period.
  5. From the board of the association can be nominated a president of honor or members of the board of honor or consultants if necessary. Only one president of honor can be nominated. The nomination number of the members of the board of honor can not exceed the maximum number of board members. The number of consultants has to be confined to 1/3 of the number of board members. The directors of organisations sent from Germany, Austria and Switzerland and residing in Taiwan can be elected members of the board of honors.  
  6. The board can if necessary set up special committees.
  7. The general secretary and 1-2 representatives can be nominated by the association after the nomination by the president, the decision of the board and the report to the authority in charge. They have to handle the matters of the association under supervision of the president. Under certain conditions work group can be formed. The establishment of the working group is decided upon by the board.
  8. The general assemblyīs tasks are the following:

 .       Election of the boardīs members and the supervisory boardīs members.

a.      Agreement to reports and decisions of the board and the supervisory board

b.     Agreement to and change of the articles of the associaiton.

c.      Agreement to annual work plan, budget and financing.

d.     Agreement to other important matters.

e.      Handling of the property.

  1. The tasks of the board are the following:

 .       Agreement to joining and leaving of board members.

a.      Opening of the general assembly and realisation of the general assemblyīs decisions.  

b.     Election of the president, the vice president and the permanent board members.  

c.      Decision making of dismissal of the president, vice president, permanent board members and board members.  

d.     Compilation of list serving as information for the next election of candidates for board and supervisory board members.

e.      Nomination and dismissal of associationīs employees.

f.       Compilations concening annual work plan, budget and balance statement.

g.     Others

  1. The tasks of the supervisory board are the following:

 .       Supervision of the execution of the  

a.      election of permanent supervisory board members.

b.     Verification of budgets and balance statements.

c.      Supervision of the financing and the property of the association.

  1. The general assembly is held annually; if necessary an extraordinary general assembly can be called up by the proposal of at least a fifth of the board members or the supervisory board. This must be announced 15 days in advance by written notice.  
  2. The president is chairman of the general assembly. In case the president is not able to attend the general assembly, the vice president has to represdent the president.  
  3. Every two months a session for the permanent board members is held. The entire board should hold a meeting every three months. A session of the supervisory board is held once every three months (if necessary a extraordinary or joint meeting can be called up). The representative board members and supervisory board members can be notified to attend the meeting.  
  4. Member fees are the following:

 .       Annual fee for normal members: NTS 1000.

a.      Members for life once NTS 10000.

b.     Groups and cooperations pay annually NTS 10000.

c.      Supporting members are paying volunteeringly and after their own judgement.

  1. The financing of the association is realized as follows:

 .      Collection of member fees

a.      Contributions of public or private cooperations or institutions or individuals.  

  1. The calculatory year of the association is every yearīs 1st January until 31th December.  
  2. In case of the associationīs dissolution the legal property has to be handled according to the law. It shall not belong to single individuals or private cooperations, but to legal cooperation or the government.  
  3. Changes of the articles of the association can be made by decision of the general assembly.  
  4. The articles of the association becomes effective as soon as decided by the general assembly and the approval of the ministry for internal affairs. Such changes also have to be approved.
